Terms of Service

These Terms of Service govern your use of MechForms at mechforms.app. By creating an account or using the service, you agree to these Terms. If you act for a business, you represent that you have authority to bind that business. “MechForms,” “we” and “us” refer to the business providing this service; “you” includes the account holder and any business they represent. If you do not agree, do not use the service.
1. Service and Eligibility
MechForms provides contractor document templates, estimates, change orders, signatures, document delivery and related tools for electrical, HVAC, plumbing and general trades. You must be at least 18 and legally able to enter into this agreement. Workspace access requires a verified paid subscription or authorized membership in a subscribed organization.
2. Accounts and Acceptable Use
Keep account credentials secure and provide accurate information. You are responsible for activity you authorize, team permissions and the lawfulness of information you upload. Do not forge signatures, impersonate others, create fraudulent or deceptive documents, misrepresent work performed or payment owed, violate another person's rights, bypass security controls, or use MechForms to break the law. We may restrict or suspend access where reasonably necessary to investigate misuse, protect the service or comply with law.
3. Subscriptions and Billing
Current prices, included users and plan features are shown on our pricing page and at checkout. Subscriptions renew on the billing schedule accepted at checkout unless canceled. Stripe processes payments. You authorize recurring charges and applicable taxes disclosed at checkout. You may manage or cancel your subscription through the available billing controls; cancellation generally takes effect at the end of the paid billing period. Unpaid accounts do not automatically receive a paid plan or workspace access.
Fees are non-refundable except where required by law or expressly agreed by MechForms. Material changes to recurring pricing will be communicated before taking effect as required by law. Your statutory rights are not excluded by these billing terms.
4. Your Content and Our Intellectual Property
You retain ownership of your business data and documents. You grant MechForms the limited rights needed to host, process and deliver that content in providing the service. You must have permission to use client data, photographs, logos and signatures. MechForms branding, software and original template designs remain the property of MechForms or their respective licensors. Your subscription permits authorized use of the service, not resale, copying or distribution of the software itself.
5. Document, AI and Delivery Disclaimers
Templates and automated AI assistance are operational tools, not legal, tax, accounting, engineering or regulatory advice. You must review all calculations, scope descriptions, licensing details, local requirements and agreements before using or signing a document. AI output can be inaccurate. Electronic signatures require appropriate authorization and compliance with applicable law. MechForms does not certify that a document is legally enforceable or meets every jurisdiction's requirements.
Email delivery, third-party payment links and external services depend on providers outside our control; inbox placement and uninterrupted availability are not guaranteed. To the fullest extent permitted by law, the service is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose or non-infringement.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF MECHFORMS AND ITS OFFICERS, EMPLOYEES AND AGENTS FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT OR OTHERWISE, WILL NOT EXCEED THE TOTAL AMOUNTS YOU ACTUALLY PAID TO MECHFORMS DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. MULTIPLE CLAIMS DO NOT INCREASE THIS CAP.
To the same extent, MechForms is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits, revenue, business opportunities or data, even if advised of their possibility. These exclusions and the cap do not apply where applicable law prohibits limiting liability, including any non-waivable liability for fraud, intentional misconduct or other protected statutory rights.
7. Indemnification for Unlawful or Fraudulent Use
To the extent permitted by law, you agree to defend, indemnify and hold harmless MechForms and its officers, employees and agents from third-party claims, damages, liabilities, penalties and reasonable legal costs arising from your fraudulent documents, forged or unauthorized signatures, unlawful use of the service, infringement of third-party rights, or material breach of these Terms, including such conduct by users you authorize.
Your unlawful conduct does not become MechForms' responsibility merely because you used our tools. This clause does not transfer liability for MechForms' own unlawful conduct or impose indemnity where prohibited by law. We will give prompt notice of a covered claim and reasonably cooperate in its defense. No settlement may bind MechForms to an admission or obligation without our prior written consent.
8. Governing Law and Exclusive Venue — Florida
These Terms and disputes arising from them or the service are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to mandatory applicable law, all disputes must be brought exclusively in the state courts of competent jurisdiction in Florida or, where federal jurisdiction exists, the federal courts located in Florida. You and MechForms consent to those courts' personal jurisdiction and venue. Nothing in this clause removes non-waivable protections or a right to bring a claim in another forum where applicable law requires it.
9. Privacy, Termination and Changes
Our Privacy Policy explains information handling and deletion requests. You may stop using the service and request account deletion by emailing support@mechforms.app. Account deletion and subscription cancellation are separate actions; manage your subscription before deleting your account. Provisions intended to survive termination, including payment obligations, intellectual property, liability limits, indemnification and dispute terms, remain effective.
We may revise these Terms and will post an updated date and give additional notice where required. Changes do not retroactively remove accrued rights. If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law.
